Summary terms of service

 

This summary of the Terms of Service has been added for user convenience, but does not have any legal meaning in any circumstance. The Terms of Service which is described below is the only legal source of reference. The user should have read, understood and accepted the Terms of Service following the summary section before using the Greenhood Services.

 

Summary: These Terms of Service govern the Greenhood Services, including access to and use of Greenhood’s App. By using the Greenhood Services, users agree to be legally bound by these terms and confirm they are of legal age and not subject to sanctions.

 

Greenhood provides a non-custodial (i.e. self-custodial) digital wallet that allows users to store digital assets, interact with decentralized exchanges, and third-party applications.

 

Users retain full responsibility for their private keys, wallets, transactions, and compliance with applicable laws. Greenhood does not provide any regulated services, including investment advice, custody services, or fiduciary duties, of any kind. All trades are user-initiated, unsolicited, and executed through smart contracts that are irreversible via third parties.

 

The platform may integrate third-party services from Third Party Partners, but Greenhood is not responsible for their content, availability, fees, or risks. Greenhood is not the provider of any such services or products from Third Party Partners. Greenhood owns all intellectual property related to its products and or services, while users grant Greenhood a license to use content they submit. Prohibited activities include fraud, hacking, market manipulation, unlawful trading, and intellectual property violations. Users assume all risks related to blockchain technology, including volatility, scams, smart contract failures, and gas fees. All products are provided “as is” with no warranties, guarantees, or assurances of availability or accuracy. Greenhood disclaims liability for losses, errors, hacks, third-party actions, or transaction failures.

 

 

Terms of Service

 

1        Introduction

 

1.1   Who we are

 

These terms of service (the "Terms") constitute a legally binding agreement between you (the "Client", "you" or "your") and Coöperatie Greenhood U.A. ("Greenhood", "we", "us", or "our"), a cooperative (coöperatie) incorporated under the laws of the Netherlands, having its registered office at gemeente Amsterdam and registered with the Dutch Chamber of Commerce under number 73870056 ("Greenhood", "we", "us", or "our").

 

1.2   Regulatory status

 

We are a technology company providing an interface allowing you to establish a self-custody SAFE and connect with various partners (“Third Party Partners”), not a bank or any other type of financial institution. The regulated services available through the Greenhood App (“Greenhood App” or “App”) (such as the Monerium IBAN and Gnosis Pay card) are provided by those Third Party Partners, not by us. We do not accept any responsibility in relation to these Third Party Partner, the services and products they provide and their regulatory status.

 

1.3   Acceptance of the Terms

 

When using any of the Greenhood Services or when installing the Greenhood App you must accept these Terms before you can proceed. When continuing to use the Greenhood services, including the Greenhood App, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Greenhood Services.  

 

We may update these Terms from time to time. We will notify you at least 30 days in advance of any material changes via the Greenhood App and our website. Changes will take effect 30 days after publication, or earlier if required to ensure compliance with applicable law. If you do not agree with updated Terms, you must stop using the Greenhood App. Continued use after the effective date constitutes acceptance of the updated Terms.

 

By accepting these Terms and activating the Greenhood App, you expressly request that Greenhood begins the provision of the Greenhood App immediately upon activation. You acknowledge and agree that, by consenting to immediate performance, you lose your right to withdraw from the agreement within the 14-day withdrawal period as provided under applicable EU consumer law.

 

2        The Greenhood Services

 

Greenhood offers various services (the “Greenhood Services”), which are available via the Greenhood website or via the Greenhood App.

 

The Greenhood Services include the following:

 

a) The Greenhood App as described in chapter 3.

b) The offering of security cards (“Security Cards”). The Security Card is a physical NFC-enabled card that serves as an additional authentication for authorising transactions.

c) The offering of merchandise.

d) Any other services provided by Greenhood.

 

3        The Greenhood App

 

3.1   Functionalities

 

Greenhood offers the Greenhood App. This allows you to

 

a) Store digital assets in a non-custodial manner. Your assets are secured by private keys that only you control, built on SAFE smart account technology. Greenhood has no access to your digital assets or private keys. If your private keys or seed phrase are lost, your assets cannot be recovered via Greenhood. You have access to the balance of your SAFE and can view all your transactions. 

 

b) Make use of services provided by Third Party Partners. You can access various services provided by Third-Party Partners. Such Third-Party Partner can include, Monerium, which converts euro to EURe stablecoin and allows you to link a Monerium IBAN to your non-custodial (i.e. self-custodial) SAFE Wallet. And Gnosis Pay, which allows you to make use of a Gnosis Pay VISA card and ultimately pay for goods and services using EURe.

 

c) link to third party decentralized exchanges ("DEXs") and third party decentralized applications. The App provides access to independent DEXs and dApps on the Gnosis blockchain, governed by their own smart contracts and terms. Greenhood does not operate, endorse, or accept responsibility for any of these platforms. Greenhood does not receive or forward your orders. You directly connect your SAFE to the DEX to authorize your transaction

 

d) View addresses and information that are part of digital asset networks and broadcast transactions. The App lets you look up wallet addresses and on-chain data, and submit signed transactions to the blockchain for processing. Once broadcast, transactions are final and cannot be reversed by Greenhood or any other party.

 

e) Participate in DEX trades and associated DEX activity. You may execute token swaps, provide liquidity, or engage in other trading activity via connected DEXs. All trades are initiated solely by you. Note that DEX trading involves significant financial risk, including total loss of funds. Greenhood does not receive or forward your orders. You directly connect your SAFE to the DEX to authorize your transaction.

 

f)  Perform any additional services that are offered through the Greenhood App.

 

 

3.2   Eligibility

 

To access or use the Greenhood App, you confirm that:

 

·   You have read, understood, and agree to be bound by these Terms in full.

·   You are at least 18 years of age (or the age of majority in your jurisdiction).

·   You are not subject to EU, UN, or other applicable economic sanctions.

·   You are not a resident of a jurisdiction where use of our services is prohibited by law.

·   You are acting on your own behalf (or have legal authority to act on behalf of an entity).

 

3.3   Access and set-up

 

You can download the Greenhood App via the Google Play Store or the Apple App Store. Once downloaded, a SAFE smart contract will be created for you on the Gnosis blockchain. For more information on SAFE technology.

 

When installing the Greenhood App, a seed phrase consisting of twelve English words is generated exclusively on your device. This seed phrase must be stored securely by you. It never leaves your device and is not transmitted to Greenhood’s servers. Think of your seed phrase like the master key to a safe deposit box. If you lose it, no one can help you get back in; not even us nor SAFE. Write it down and store it somewhere secure and offline.

 

As this is a non-custodial (i.e. self-custodial) wallet, Greenhood has no access to your digital assets and therefore has no obligation or technical ability to recover lost assets, frozen wallets, or misdirected transactions.

 

3.4     Authentication

 

The address associated with your SAFE Wallet and the corresponding signing keys are visible within the Greenhood App. You are responsible for maintaining the security of your credentials. You must:

·   Keep your seed phrase and all authentication credentials confidential and not share them with anyone, including anyone claiming to represent Greenhood. We will never ask for your seed phrase.

·   Enable two-factor authentication when available.

·   Regularly review your account activity and promptly report any discrepancies to us.

·   Only access the Greenhood App from secure, trusted devices.

 

3.5     Key Risks

 

Using the Greenhood App involves the following material risks. Please read these carefully.

·   Seed phrase loss is permanent. If you lose your 12-word seed phrase, your funds are permanently inaccessible. There is no recovery option for anyone.

 

·   Transactions are irreversible. Once confirmed on the blockchain, a transaction cannot be cancelled, reversed, or refunded by Greenhood or any third party. Always verify recipient addresses and amounts before signing.


·   DEX trading. Trading via decentralised exchanges carries significant financial risk, including the total loss of funds. Greenhood does not assess your suitability for DEX trading and does not provide investment advice.

 

·   Smart contract risk. DEXs and dApps run on third-party smart contracts. Bugs or exploits in those contracts may result in loss of funds. Greenhood is not responsible for third-party smart contracts.

 

·   Scams and phishing. Be alert to fake apps, websites, and messages impersonating Greenhood or its partners. Always verify you are using the official Greenhood App.

 

3.6   Right to refuse or close accounts

 

We reserve the right to:

 

·   Refuse any application to make use of the Greenhood App without providing reasons.

·   Restrict or suspend your Greenhood App if we suspect fraudulent or suspicious activity.

·   Restrict or terminate your access if you breach these Terms or applicable law.

·   Restrict or terminate access for commercial reasons on 60 days’ written notice.

Your SAFE remains accessible via other compatible applications provided you retain access to your seed phrase or signing keys. Greenhood does not delete or take control of your SAFE upon termination.

 

4        Third Party Partners

 

You can access various services provided by Third Party Partners via the Greenhood App. This includes Third Party Partners such as Monerium and Gnosis Pay. Greenhood may onboard additional Third-Party Partners at its own discretion and without prior notice to you.

 

4.1   Responsibilities

 

When you use a Third-Party Partner’s services, you contract directly with that Third Party Partner, not with Greenhood. Greenhood’s role is limited to providing technical access to these Third-Party Partners. Each Third-Party Partner is solely responsible for its own services, regulatory authorisations, and licences. Greenhood makes no representation that any Third-Party Partner holds the appropriate authorisations for your jurisdiction.

 

Greenhood is not responsible for any actions taken by Third Party Partners, including declining your application, restricting your account, placing a hold on your funds, or experiencing service outages. These decisions are made solely by the relevant partner, and Greenhood cannot intervene on your behalf.

 

Some of our Third-Party Service Providers are regulated entities in their respective jurisdictions. Accordingly, you may be required to complete their onboarding process, which may include checks regarding anti-money laundering, terrorist financing and sanctions, and accept their terms and conditions. Greenhood is not a party to your agreement with the Third-Party Partner and has no control over the Third-Party Partner’s onboarding decisions, service availability, transaction limits, or regulatory actions. If a Third-Party Partner declines your application, restricts your account, or suspends its services, Greenhood cannot intervene on your behalf.

 

4.2   Subcontracting

 

Third Party Partners may engage sub-contractors or other third parties to deliver all or part of their services. Greenhood has no control over, and accepts no responsibility for, the acts or omissions of any such sub-contractors or third parties engaged by a Third-Party Partner.

 

4.3   Privacy and Third-Party Data

 

Some Third-Party Services may share certain information about you with Greenhood. We will use, store, and disclose such information in accordance with our Privacy Policy, available at Greenhoodwallet.com/privacy. We encourage you to review the privacy policies of any Third-Party Services you use, as Greenhood is not responsible for their data practices.

 

5          Fees

 

Greenhood may charge a fee for the provision of the Greenhood Services. Third-Party Partners may charge Greenhood for the services provided to you via the Greenhood App. Such fees can be included in the fees Greenhood charges to you directly. More information about our fees can be found on the Greenhood website.  

 

You may incur fees from our Third-Party Partners directly, including:

 

a) Fees for the Third-Party Partner’ service provision;

b) bank charges for transfers to or from your bank account;

c) gas fees:

d) currency conversion fees, if applicable.

 

All fees charged directly by Third Party Partners are subject to those Third-Party Partners' own terms and conditions, which we encourage you to review. Greenhood has no control over Partner fees and accepts no liability in connection with them.

 

6        Your Responsibilities

 

6.1   Seed Phrase Security

 

Your wallet is a self-hosted wallet. This means that your seed phrase is generated and stored exclusively by you. Greenhood does not hold, transmit, or have access to your seed phrase or your digital assets at any time, and operates no infrastructure through which your wallet or assets could be accessed, frozen, or recovered.

 

Because of the self-hosted nature of your wallet, recovery of access is technically impossible in the event of loss or compromise of your seed phrase. Greenhood has no ability to restore access, reverse transactions, or recover assets under any circumstances, including in cases of unauthorised access, theft, or loss.

 

You are solely responsible for:

(a) accurately recording your seed phrase at the time of generation;

(b) storing the seed phrase securely offline and in a manner that prevents unauthorised access, loss, or destruction;

(c) ensuring that no third party obtains access to your seed phrase, whether through disclosure, negligence, theft, deception, or otherwise.

 

6.2   Security Cards

 

The Security Card is a physical NFC-enabled card that functions as an additional authentication factor for authorising transactions. The security card is initialised by you before first usage.

Because of the physical nature of the Security Card, Greenhood has no ability to authorise, replicate, or substitute a transaction in the event of loss, theft, or damage to your Security Card.

Because of the physical nature of the Security Card, access to your funds may be temporarily or permanently restricted in the event of loss, theft, or damage to your security card. Greenhood has no ability to override this restriction, authorise transactions on your behalf, or recover access to your funds under any circumstances.

You are solely responsible for:

(a) activating your Security Card correctly within the Greenhood App prior to use;

(b) keeping your Security Card secure and protecting it from loss, theft, damage, or unauthorised access;

(c) ensuring that no third party obtains physical access to your Security Card, whether through disclosure, negligence, theft, deception, or otherwise;

(d) in case of loss or theft of your Security Card, promptly remove the security key from your Safe smart account to prevent unauthorised use.

In the event of loss, theft, or damage to your Security Card, you can buy a new Security Card at Greenhood.

Greenhood also reserves the right to issue a replacement Security Card where technically necessary, including in cases of hardware obsolescence, security vulnerabilities, or changes to the underlying technology. Where technically possible, Greenhood will notify you in advance of any such replacement. Greenhood is not liable for any temporary inability to complete transactions during a mandatory replacement process.

We strongly advice you not to store any value on your Security Card. We advise you to put your assets on your Safe smart contract accounts. Greenhood is not liable for any loss, theft or damage resulting from storing value on your Security Card.

 

6.3   Prohibited Activity

 

You agree not to engage in any of the following in connection with your use of the Greenhood App:

•   Intellectual property infringement. Violating any copyright, trademark, patent, right of publicity, or other intellectual property rights.

•   Cyberattacks. Interfering with or compromising the integrity or security of any system, including the deployment of viruses or denial-of-service attacks.

•   Fraud and misrepresentation. Defrauding Greenhood or any person, including providing false or misleading information to obtain property unlawfully.

•   Market manipulation. Violating laws concerning trading market integrity, including rug pulls, pump-and-dump schemes, and wash trading.

•   Regulatory violations. Violating applicable law concerning securities, derivatives, financial instruments, money laundering, terrorist financing or sanctions.

•   Purchasing or facilitating illegal goods or services. Using the Greenhood App to buy, sell, trade, or facilitate the exchange of prohibited items, including illegal drugs, weapons, counterfeit goods, or any other items whose sale or possession is prohibited under applicable law.

•   Data scraping. Using robots, scrapers, or similar tools to extract data from our products without authorisation.

•   Any other unlawful conduct. Violating any applicable EU or national law or regulation.

 

6.4   Trading

 

Greenhood may display token information sourced from third-party data providers. This information is provided for convenience only and does not constitute investment advice or a solicitation to trade. Greenhood does not represent the accuracy of such third-party data. Greenhood is not recommending any token as a safe or suitable investment and provides no investment advice in relation thereto.

You alone are responsible for determining whether any investment, strategy, or transaction is appropriate for you, based on your personal objectives, financial situation, and risk tolerance.

In addition, Greenhood does never receive or forward your orders. You directly enter into trading transactions by connecting your SAFE.

 

7        Non-Custodial and No Fiduciary Duties

 

The Greenhood App is a purely non-custodial application, also referred to as a self-custodial or self-hosted wallet. Greenhood does not have custody, possession, or control of your digital assets or your seed phrase at any time. You are solely responsible for the custody of your private keys. You should never share your seed phrase with anyone or store it in vulnerable locations such as cloud storage or messaging apps.

Greenhood accepts no responsibility or liability for your use of any wallet and makes no warranties regarding how the App will operate with any specific wallet configuration. You are solely responsible for your wallet, and Greenhood is not liable for any acts or omissions that result in your wallet being compromised.

These Terms do not create or impose any fiduciary duties on Greenhood. To the fullest extent permitted by law, Greenhood owes no fiduciary duties or liabilities to you or any other party. The only duties Greenhood owes you are those expressly set out in these Terms.

 

8        NFT Terms

 

You are free to acquire NFTs and store them in your SAFE where technically possible. NFTs may be subject to terms imposed by their creators with respect to the use of the NFT content and benefits associated with a given NFT. For example, when you click to get more details about any of the NFTs visible on the interface, you may notice a third-party link to the creator's website. Such websites may include additional terms governing the use of the NFT that owners of the NFT will be required to comply with. We are not a party to any such intrinsic NFT terms, which are between creators, sellers, and buyers. The buyer and seller are entirely responsible for communicating, promulgating, agreeing to, and enforcing those terms, and you are solely responsible for reviewing such terms.

 

 

9        Intellectual Property Rights

 

9.1   IP Rights Generally

 

We own all intellectual property and other rights in the Greenhood App and its respective contents, including, but not limited to, software, text, images, trademarks, service marks, copyrights, patents, designs, and its "look and feel". This intellectual property is available under the terms of our copyright licenses and our Trademark Guidelines. Subject to the terms of this Terms, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use our Products solely in accordance with this Terms. You agree that you will not use, modify, distribute, tamper with, reverse engineer, disassemble or decompile any of our Products for any purpose other than as expressly permitted pursuant to this Terms. Except as set forth in this Terms, we grant you no rights to any of our Products, including any intellectual property rights.

 

By using the Greenhood App (including to list, post, promote, or display NFTs), you grant us a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify, and display any content, including but not limited to text, materials, images, files, communications, comments, feedback, suggestions, ideas, concepts, questions, data, or otherwise, that you post on or through the Greenhood App for our current and future business purposes, including to provide, promote, and improve the services. This includes any digital file, art, or other material linked to or associated with any NFTs that are displayed. You grant to us a non-exclusive, transferable, worldwide, perpetual, irrevocable, fully-paid, royalty-free license, with the right to sublicense, under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon any suggestions or feedback for any purpose.

 

 You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power and/or authority necessary to grant the rights granted herein for any material that you list, post, promote, or display on or through any of our Products (including, but not limited to, NFTs). You represent and warrant that such content does not contain material subject to copyright, trademark, publicity rights, or other intellectual property rights, unless you have necessary permission or are otherwise legally entitled to post the material and to grant us the license described above, and that the content does not violate any laws.

 

9.2   Third-Party Resources and Promotions

 

Our Products may contain references or links to third-party resources, including, but not limited to, information, materials, products, or services, that we do not own or control. In addition, third parties may offer promotions related to your access and use of the Greenhood App. We do not approve, monitor, endorse, warrant or assume any responsibility for any such resources or promotions. If you access any such resources or participate in any such promotions, you do so at your own risk, and you understand that this Terms does not apply to your dealings or relationships with any third parties. You expressly relieve us of any and all liability arising from your use of any such resources or participation in any such promotions.

 

9.3     Additional Rights

 

We reserve the right to cooperate with any law enforcement, court or government investigation or order or third party requesting or directing that we disclose information or content or information that you provide.

 

    

10 Modifications of this Terms or our Products

 

10.1 Modifications of this Terms

 

We may modify these Terms from time to time. We will give you at least 30 days’ notice of material changes via the Greenhood App and our website at greenhoodwallet.com. If you continue using the App after the effective date, you accept the updated Terms.

 

10.2   Modifications of our Greenhood App

 

We reserve the right to modify, substitute, suspend, or discontinue any part of the App, with or without notice. We also reserve the right to review, filter, or remove any content or information from the App.

 

11 Complaints

 

If you have a complaint about the Greenhood Services or the Greenhood App, please contact us first:

We will acknowledge your complaint within 5 business days and aim to provide a substantive response within 30 business days. If your complaint is complex, we will keep you informed of progress. If we are unable to resolve your complaint to your satisfaction, you may escalate it to the competent courts in accordance with Section 15.2.

 

12 Indemnification

 

You agree to indemnify and hold harmless Greenhood, our affiliates, and our respective officers, directors, employees, contractors, agents, and representatives (the “Greenhood Parties”) from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your access to and use of the App; (b) your violation of these Terms or any applicable law; (c) any third party’s use of the App with your assistance or through your account; and (d) any dispute between you and another user of the App.

We will notify you of any such claim. We reserve the right to assume the exclusive defence of any matter subject to indemnification, and you agree to cooperate with our defence. You may not settle any claim against a Greenhood Party without our prior written consent.

 

 

13 Limitation of Liability

 

13.1 Exclusion of Certain Damages

 

To the fullest extent permitted by applicable law, Greenhood shall not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, data, or other intangible property, arising from your use of or inability to use the App.

Greenhood is not responsible for losses resulting from: (a) errors or inaccuracies in content; (b) hacking, tampering, or unauthorised access; (c) interruptions or cessation of service; (d) bugs, viruses, or similar malicious code; (e) errors or omissions in content available through the App; or (f) illegal conduct by third parties.

13.2 Cap on Liability

 

To the extent permitted by applicable law: (a) Greenhood’s total liability to you in any 12-month period is limited to the fees you have paid to Greenhood in that period; (b) Greenhood is not liable for any loss or damage that was not reasonably foreseeable; and (c) these limitations apply regardless of the legal basis of any claim.

13.3 Events Beyond Our Control

 

Greenhood is not liable for any failure or delay caused by circumstances beyond its reasonable control, including: blockchain network issues, force majeure events, government actions, regulatory changes, failures of telecommunications networks, cyberattacks, or actions of third parties.

13.4 Third-Party Services

 

Greenhood makes no warranties regarding linked Third Party Services or their suitability, security, or availability. You assume all risk arising from your use of Third-Party Services. Greenhood is not liable for losses arising from products or services offered by third parties accessed through the App.

14 Termination

 

14.1 Termination by You

 

You may stop using the Greenhood App at any time by uninstalling it from your device. Because the App is non-custodial, uninstalling it does not affect your underlying SAFE or the digital assets held in it. Your SAFE remains accessible via other compatible applications provided you retain access to your seed phrase or signing keys. Greenhood does not delete or take control of your SAFE upon termination.

If you wish to stop using services provided by Third Party Partners, you must contact those partners directly in accordance with their own terms and conditions, as Greenhood cannot terminate those relationships on your behalf.

14.2 Restriction/termination by Greenhood

 

We may terminate or restrict your access to the Greenhood App in accordance with Section 3.6 of these Terms. Restriction or termination does not affect your underlying SAFE or your ability to access it through other compatible applications using your seed phrase.

14.3 Effect of Termination

 

Upon termination, all licences granted to you under these Terms will cease. Provisions that by their nature should survive termination will do so.

 

15 Governing Law and Dispute Resolution

 

15.1   Governing Law

 

You agree that the laws of The Netherlands, without regard to principles of conflict of laws, govern this Terms and any Dispute between you and us. You further agree that the Greenhood App shall be deemed to be based solely in The Netherlands, and that although the Greenhood App may be available in other jurisdictions, its availability does not give rise to general or specific personal jurisdiction in any forum outside The Netherlands.

 

15.2   Dispute Resolution

 

We will use our best efforts to resolve disputes through informal, good-faith negotiation. If a dispute arises, please contact us at support@greenhoodwallet.com. We ask that you give us a reasonable opportunity to resolve the matter before commencing formal proceedings (see also Section 11 — Complaints).

If a dispute cannot be resolved informally, it will be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

 

  

16   Miscellaneous

 

 

16.1 Entire Terms

 

These terms constitute the entire agreement between you and us with respect to the subject matter hereof. This Terms supersedes any and all prior or contemporaneous written and oral agreements, communications and other understandings (if any) relating to the subject matter of the terms.

 

16.2 Severability

 

If any provision of these Terms is found to be invalid or unenforceable that provision will be limited or eliminated to the minimum extent necessary. The remaining provisions remain in full force and effect and the overall intent of these Terms will be preserved.

 

 

16.3 Assignment

 

You may not assign or transfer this Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer this Terms without our prior written consent shall be null and void. We may freely assign or transfer this Terms.
